Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of sheetpilot.app, any client-branded portals at *.sheetpilot.app, and related services and connectors (collectively, the “Service”).

1) Accounts & Eligibility
- You must have authority to bind your organization and be at least the age of majority in your jurisdiction.
- You’re responsible for your account, invited users, and safeguarding credentials and any keys/tokens.
- Keep registration and billing information accurate and up to date.
2) The Service
- The Service includes the web app, admin portal, client-branded portals, and integrations with Google Apps Script/Google Sheets, Stripe, and Twilio.
- We may make changes, add or remove features, or discontinue components with reasonable notice where practicable.
- Beta/experimental features are provided as-is and may be withdrawn at any time.
3) Your Content & Data
- Ownership. You retain all rights to content and data you submit (including data written to your Google Sheets) (“Customer Data”).
- License to operate the Service. You grant us a non-exclusive, worldwide, royalty-free license to host, process, transmit, and display Customer Data solely to provide/support the Service.
- Roles. For Customer Data, we act as a processor on your instructions. For our website, billing, support, analytics, and admin data, we act as a controller. A Data Processing Addendum (DPA) is available.
- Backups/Export. You are responsible for exporting data you need; your Google Sheets typically remain the system of record.
4) Third-Party Services & Integrations
- The Service interoperates with third parties you choose to connect, including Google Sheets/Google Apps Script, Stripe, and Twilio.
- No public API: interoperability occurs through in-product integrations and your configured connections.
- Your use of third-party services is governed by their terms and privacy policies; we are not responsible for third-party services.
- You authorize us to access and exchange data with connected services as needed to operate the integrations you configure.
5) Messaging Compliance (Twilio / WhatsApp / SMS)
- You will obtain and maintain valid, documented consent from message recipients and honor opt-outs (e.g., STOP/UNSUBSCRIBE).
- No unlawful, unsolicited, or harmful messages; comply with carrier rules, Twilio policies, and applicable laws (e-privacy/telecom, anti-spam, WhatsApp terms).
- You are responsible for message content, recipient lists, and compliance in your jurisdictions.
6) Fees and Payment (Subscriptions)
- Subscription model. You select a plan (Free, Starter, Growth, or Scale) and pay the listed monthly fee in advance. Plans may be upgraded or downgraded effective on the next billing cycle unless a separate order form states otherwise.

Plan tiers.
- Free: €0/month; up to 5 employees and 1 location sheet, 7-day analytics lookback, notifications disabled, and no SSO.
- Starter: €30/month; €10 messaging credit, up to 10 employees and 3 locations included, notifications available at standard variable rates, 90-day analytics lookback, and no SSO.
- Growth: €60/month; €10 messaging credit, up to 50 employees and 10 location sheets included, discounted notification rates, lower per-employee/location overages, 180-day analytics lookback, and SSO included.
- Scale: €120/month; unlimited employees and locations, SSO included, 1-year analytics lookback, and notifications at the lowest variable cost with tailored messaging credits.
- Variable charges. Employees or locations beyond the included limits and any messaging usage beyond the included credit are billed at the plan’s variable rates. Free plan customers must upgrade to enable notifications.
- Fees & taxes. Fees are shown at checkout or in your order; taxes (e.g., VAT/GST) may be added as required by law.
- Payment processor. We use Stripe; you authorize Stripe to charge your payment method. We do not store full card numbers.
- Price changes. We may change prices or included features with notice; changes apply to future renewal periods only.
- Refunds. Except where required by law, fees are non-refundable once charged and we do not provide credits for partial months.
- Non-payment & suspension. We may suspend access to subscription features for overdue invoices after notice where practicable.
7) Acceptable Use
- No unlawful use, IP/privacy infringement, or storage/distribution of harmful/illegal content.
- No attempts to circumvent security, access non-public systems, or reverse engineer except where permitted by law.
- No abuse: spamming, unauthorized scraping, or bypassing rate limits.
- No misrepresentation of identity or affiliation.
8) Security
- We implement reasonable technical and organizational measures (TLS, access controls, logging, backups) appropriate to the risk.
- You are responsible for secure configurations on your side (e.g., Google Sheet sharing, API/secret keys you manage, role-based access for your users).
9) Service Availability & Support
The Service is provided with commercially reasonable efforts for availability and support via email. Unless a separate SLA is signed, no specific uptime guarantee is provided.
10) Intellectual Property
- We and our licensors own the Service and related IP; no ownership is transferred.
- Feedback. If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them.
11) Confidentiality
Each party will protect the other’s non-public information with at least reasonable care and use it only for purposes of these Terms.
12) Data Protection
- Our Privacy Policy describes how we handle personal data as a controller.
- For processing performed on your behalf, the DPA (including SCCs where applicable) governs and prevails over conflicting provisions in these Terms.
13) Term, Termination & Suspension
- These Terms start when you first use the Service and continue until terminated.
- You may stop using the Service at any time from your account settings.
- We may suspend or terminate for material breach, unlawful conduct, risk to the Service, or non-payment/overdue invoices, after notice where practicable.
- Upon termination, access ends; we’ll make reasonable efforts to enable export of then-current Customer Data. Fees already paid are handled per the cancellation policy above and applicable law.
14) Disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties (express or implied), including merchantability, fitness for a particular purpose, and non-infringement.
15) Limitation of Liability
- Neither party is liable for indirect, consequential, special, incidental, or punitive damages.
- Except for payment obligations and indemnities, each party’s aggregate liability is limited to the amounts paid or payable by you to us in the 12 months before the event giving rise to liability.
16) Indemnification
You will defend and indemnify us from claims, losses, and expenses arising from (a) your Customer Data, (b) your use of the Service in violation of these Terms or law, and (c) messaging activities (including lack of consent or unlawful content).
17) Governing Law & Dispute Resolution
- Governing law: [Choose: Netherlands / your country], excluding its conflicts-of-law rules.
- Venue: the courts of [City, Country] have exclusive jurisdiction, unless applicable law requires otherwise.
18) Export & Sanctions
You will comply with applicable export control and sanctions laws and will not use the Service where such use is prohibited.

We may use your name and logo as a customer identifier in accordance with your brand guidelines, unless you opt out by notifying us.
20) Changes to these Terms
We may update these Terms from time to time. Changes become effective on posting or the stated effective date. If a change is material, we will provide reasonable notice to account admins. Continued use after the effective date constitutes acceptance.

- You may send legal notices to legal@sheetpilot.app or our registered address.
22) Definitions
- Customer Data: content, data, and materials you or your users submit to the Service.
- Users: individuals you permit to access the Service under your account.
- Order: any online checkout, order form, or agreement specifying your plan and pricing.
